KOMANCHE AUDIO
EXCLUSIVE COPPA VOCAL FEATURE LICENCE
Version 1.0 - 13 September 2026

This licence is between Marvin Hay, trading as Komanche Audio (the "Licensor"), and the person or business identified as the customer in the accepted order (the "Buyer"). It applies to the exclusive COPPA vocal topline identified in that order (the "Delivered Vocals").

1. PURCHASE AND ACCEPTANCE

The purchase price is €550. By clicking the button that completes the purchase, the Buyer confirms that they have read, understood and agreed to this licence. The licence takes effect only after full, cleared and non-fraudulent payment has been received.

2. EXCLUSIVE BUYOUT

Upon valid payment, the Licensor transfers to the Buyer, to the fullest extent legally possible, ownership and exclusive worldwide, perpetual master-side rights in the Delivered Vocals for use in one resulting song (the "Licensed Song") and its legitimate family of versions.

The Buyer may record new music around the Delivered Vocals and may edit, arrange, chop, tune, process, time-stretch, pitch-shift, mix and master them. The Buyer may create and commercially exploit customary versions of the Licensed Song, including clean, radio, extended, instrumental, sped-up, slowed, remix and sync versions.

The Delivered Vocals will not be sold or licensed by the Licensor to another buyer after a valid purchase. There is no deadline by which the Buyer must release the Licensed Song.

3. MASTER OWNERSHIP AND REVENUE

The Buyer owns and controls the resulting master recording of the Licensed Song and keeps 100% of all master-side revenue and receipts. The Licensor is not entitled to any contractual master royalty, master points or master accounting.

The Buyer may distribute, release, promote, license and otherwise exploit the Licensed Song worldwide through labels, distributors, publishers, managers, engineers, remixers, sync representatives and commercial clients, provided that the restrictions in this licence continue to apply.

4. SONGWRITING AND PUBLISHING

Marvin Hay retains a fixed 50% share of the composition embodied in the Licensed Song, including the lyrics and vocal melody supplied in the Delivered Vocals. This share is administered by Max Music Publishing.

The Buyer or Buyer-producer side controls the remaining 50%. Any additional writers or producers engaged by the Buyer must be paid from the Buyer's 50% unless Marvin Hay expressly agrees otherwise in writing. Marvin Hay's 50% may not be reduced without his prior written agreement.

The parties will provide the information and cooperation reasonably required to register the Licensed Song accurately and collect their respective publishing income.

5. COPPA FEATURE CREDIT

The Licensed Song shall be released and credited in the following form:

COPPA may be entered as a featured artist on digital streaming platforms. This licence does not grant primary-artist, joint-primary, co-headlining or equivalent billing. Billing such as "Buyer Artist & COPPA", "Buyer Artist x COPPA", or any listing of COPPA as a primary artist requires Marvin Hay's prior written permission.

The COPPA name may be used without further approval only for accurate featured-artist credit and factual promotion of the Licensed Song. COPPA's image, likeness, biography, logo, endorsement, video participation, social-media promotion, appearances and other promotional services are not included. Marvin Hay has no obligation to promote the release.

6. PREVIEW AND DEMONSTRATION MUSIC

Only the Delivered Vocals are included in the purchase. Any demonstration music heard in a product preview is not supplied or licensed and may not be used or released by the Buyer unless the Buyer obtains the necessary rights independently.

7. RESTRICTIONS

The Buyer may not:

  • sell, license, distribute, share or make the Delivered Vocals available as standalone vocal files, samples, stems or part of another sample pack;
  • use the Delivered Vocals in more than one unrelated song;
  • use the Delivered Vocals, COPPA name or Marvin Hay's identity to create new performances or material outside the Licensed Song and its permitted versions;
  • use the Delivered Vocals or COPPA credit in unlawful, defamatory, misleading or deliberately reputation-damaging material; or
  • imply any endorsement, approval or promotional involvement beyond COPPA's participation as the featured vocalist on the Licensed Song.

The Buyer may provide the files only to professional collaborators and commercial partners who need them to produce or exploit the Licensed Song. The Buyer remains responsible for their compliance with this licence.

8. BUYER RESPONSIBILITIES

The Buyer is responsible for all music, recordings, samples, contributions and other material added to the Delivered Vocals and must obtain every permission required to release and exploit the Licensed Song. The Buyer is also responsible for correct credits, metadata, registrations and payments due from the Buyer's side.

9. PAYMENT REVERSAL

If payment is charged back, reversed, fraudulent or unauthorised, all rights granted under this licence terminate immediately. The Buyer must stop using the Delivered Vocals and remove the Licensed Song and all related versions from release. Rights are restored only if full valid payment is reinstated and accepted by the Licensor.

10. FINAL SALE

All sales are final. No cancellation, exchange or voluntary refund is offered after purchase or digital delivery. Nothing in this clause excludes any remedy that cannot lawfully be excluded.

If simultaneous orders occur, only the first successfully completed and accepted payment acquires the rights. Any duplicate order acquires no rights and will be refunded.

11. RIGHTS RESERVED BY LAW

Except for Marvin Hay's retained 50% composition and publishing share, the buyout includes all transferable or waivable master-side and performer rights in the Delivered Vocals to the fullest extent permitted by law. Any right or remuneration claim that cannot legally be transferred or waived remains unaffected and does not create a contractual master royalty.

12. GENERAL

This licence and the accepted order form the entire agreement concerning the Delivered Vocals. Any permission or amendment must be agreed in writing by the relevant parties.

If any provision is found unenforceable, the remaining provisions continue in effect. This licence is governed by German law, subject to any mandatory consumer rights or jurisdiction rules that legally apply.
